1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the website, online store, social-media sales channels, messaging platforms, marketplaces, quotation process, and other authorised sales channels operated by FORMA PRINTWORKS SDN. BHD. (“FORMA PRINTWORKS”, “we”, “our”, or “us”).

By accessing our website, requesting a quotation, approving artwork, making payment, placing an order, or purchasing products or services from us, you agree to be bound by these Terms, together with our Refund & Return Policy, Shipping Policy, Privacy Policy, quotations, invoices, artwork proofs, and any other written terms accepted in connection with your order.

If you do not agree to these Terms, please do not use our website or proceed with an order.

Nothing in these Terms is intended to exclude, restrict, or limit any customer rights that cannot legally be excluded under applicable law.

3. Our Products and Services

FORMA PRINTWORKS provides printing, customisation, branding, e-commerce, wholesale, trading, import, export, distribution, fulfilment, outsourcing, subcontracting, sales-agency, and related services.

Our products and services may include apparel, T-shirts, polo shirts, jackets, caps, tote bags, pouches, drinkware, tumblers, flasks, mugs, stationery, promotional products, printed materials, photo products, signage, banners, buntings, backdrops, stickers, merchandise, laser engraving, embroidery, photo printing, large-format printing, and related goods.

Certain products may be ready stock, while others may be customised, made to order, specially sourced, printed, engraved, embroidered, personalised, or produced according to customer-approved specifications.

4. Product Information and Images

We make reasonable efforts to ensure that product descriptions, images, dimensions, materials, colours, pricing, and specifications are accurate. However, product images, digital mock-ups, catalogue visuals, samples, and website content are provided for general illustration purposes.

Actual products may vary slightly due to screen settings, lighting, material characteristics, supplier changes, manufacturing batches, printing methods, ink absorption, embroidery texture, engraving depth, finishing methods, product availability, or other commercially reasonable production factors.

Customers should contact us before ordering where a specific material, colour tone, size, finish, print method, packaging style, or product specification is essential to the order.

5. Quotations and Pricing

All quotations are subject to product availability, supplier confirmation, production capacity, artwork requirements, delivery arrangements, and the validity period stated in the quotation.

Unless otherwise stated, prices are quoted in Malaysian Ringgit (RM). Prices may exclude delivery charges, artwork fees, design fees, set-up fees, mould fees, installation charges, urgent-production charges, taxes, special packaging, or other applicable costs.

We reserve the right to revise pricing where there is a material change in customer requirements, order quantity, product specifications, supplier cost, freight cost, exchange rate, tax requirement, artwork complexity, delivery arrangement, or any other factor affecting the order.

A quotation does not guarantee stock reservation or production availability until payment, artwork approval, and order confirmation have been completed.

6. Orders and Acceptance

When a customer places an order or accepts a quotation, the customer is offering to purchase the products or services under these Terms.

An order is considered accepted only when FORMA PRINTWORKS confirms it in writing, begins production, issues an invoice, or otherwise confirms that the order has been accepted.

We may refuse, cancel, suspend, or limit an order where reasonably necessary, including where:

  • Products are unavailable;
  • Payment has not been verified;
  • Artwork is incomplete, unsuitable, unlawful, or technically unusable;
  • The requested delivery date cannot reasonably be met;
  • There is a pricing, listing, quotation, promotion, or system error;
  • The order appears fraudulent, suspicious, or unauthorised;
  • The delivery address is incomplete, inaccessible, or unsupported;
  • The order may infringe intellectual-property rights; or
  • We are required to do so for legal, operational, safety, or security reasons.

Where payment has been received for an order that cannot be accepted, we will discuss an appropriate refund, credit, replacement, or alternative arrangement in accordance with applicable law and our policies.

7. Customer Artwork and Intellectual Property

Customers are responsible for ensuring that all artwork, logos, photographs, text, designs, trademarks, names, graphics, slogans, and other materials supplied to FORMA PRINTWORKS are accurate, lawful, and authorised for use.

By submitting artwork or content to us, you confirm that you own the relevant rights or have obtained all necessary permissions, licences, approvals, and consents to use the materials for the requested purpose.

You must not submit any content that is unlawful, defamatory, misleading, obscene, discriminatory, infringing, harmful, fraudulent, or otherwise inappropriate.

FORMA PRINTWORKS is not responsible for claims, losses, costs, liabilities, or disputes arising from customer-supplied artwork or materials. You agree to indemnify us against reasonable claims arising from your unauthorised use of third-party intellectual property, except to the extent caused by our own misconduct.

We may refuse to reproduce artwork or materials that we reasonably believe may breach legal, ethical, safety, intellectual-property, or platform requirements.

8. Artwork Proofing and Approval

For customised orders, we may provide artwork proofs, mock-ups, layout previews, or production specifications for review before production begins.

Customers must carefully check all artwork proofs and order details, including:

  • Spelling, grammar, dates, names, telephone numbers, and addresses;
  • Logos, trademarks, images, colours, and visual quality;
  • Product size, quantity, dimensions, and material;
  • Print placement, print size, embroidery position, engraving area, and finishing;
  • Delivery details; and
  • Any other production requirement.

Once artwork or production details have been approved in writing, by message, by email, by payment confirmation, or through another accepted approval method, production may begin.

FORMA PRINTWORKS is not responsible for errors that were visible in an approved proof, including spelling errors, incorrect contact details, incorrect dates, colour choices, logo placement, or product specifications.

9. Production Variations

Customers acknowledge that reasonable production tolerances and variations may occur. These may include slight differences in colour, print position, alignment, trimming, stitch position, engraving depth, texture, packaging, garment measurement, material grain, surface finish, and product weight.

Such variations do not constitute a defect where the finished product substantially matches the approved artwork, product description, and agreed specifications.

For printed colours, exact colour matching cannot always be guaranteed unless specifically agreed in writing and supported by an approved colour reference or production method.

10. Payment Terms

Payment methods, deposit requirements, balance-payment deadlines, and credit terms will be stated in the quotation, invoice, or order confirmation.

Unless otherwise agreed in writing, production may begin only after the required deposit or full payment has been received and verified.

For corporate, wholesale, fulfilment, agency, or repeat orders, separate credit arrangements may be agreed in writing. Failure to make payment by the agreed deadline may result in production delays, order suspension, delivery withholding, late-payment charges where agreed, or cancellation of the order.

All bank charges, payment-gateway charges, currency-conversion charges, and payment-provider fees are the responsibility of the customer unless otherwise stated.

11. Delivery and Collection

Delivery arrangements, estimated production lead times, courier services, delivery charges, collection arrangements, tracking, failed delivery, and related matters are governed by our Shipping Policy.

Delivery dates are estimates unless specifically guaranteed in writing. We are not responsible for delays caused by courier operations, traffic disruptions, weather, public holidays, supplier delays, customs procedures, customer approval delays, incomplete information, or circumstances beyond our reasonable control.

Customers are responsible for providing complete and accurate delivery information and ensuring that someone is available to receive the order where required.

12. Returns, Refunds, and Cancellations

Returns, refunds, replacements, reprints, exchanges, and cancellations are governed by our Refund & Return Policy.

Because many products are customised, printed, engraved, embroidered, specially sourced, or produced to customer-approved specifications, they are generally not eligible for return or refund due to change of mind, customer preference, event cancellation, incorrect selection, or matters visible in an approved artwork proof.

Customers must inspect products promptly upon delivery or collection and report damage, defects, missing items, or incorrect supply within the timeframe stated in our Refund & Return Policy.

13. Website Use

You may use our website only for lawful and legitimate purposes.

You must not:

  • Attempt to gain unauthorised access to our systems or accounts;
  • Introduce viruses, malware, harmful code, or disruptive technology;
  • Copy, scrape, reproduce, republish, or commercially exploit website content without permission;
  • Misrepresent your identity, payment authority, business, or delivery details;
  • Use automated tools, bots, or data-mining methods without authorisation; or
  • Use our website in a manner that may damage, disrupt, or impair our services.

14. Intellectual Property Rights

All content created or owned by FORMA PRINTWORKS, including our logo, company name, website content, product descriptions, photographs, graphics, layouts, designs, branding, databases, and marketing materials, remains our intellectual property or is used under licence.

You may not reproduce, publish, distribute, modify, adapt, sell, display, or use such materials for commercial purposes without our prior written consent.

15. Limitation of Liability

To the maximum extent permitted by law, FORMA PRINTWORKS will not be liable for indirect, incidental, consequential, special, punitive, or business-related losses, including loss of profit, business interruption, reputational loss, loss of opportunity, or loss arising from missed events or campaign deadlines.

Our total liability in relation to an affected order will not exceed the amount paid by the customer for the specific affected product or service, except where a greater remedy is required by applicable law.

16. Force Majeure

We will not be responsible for delays, disruption, or failure to perform caused by circumstances beyond our reasonable control. These may include natural disasters, fires, floods, pandemics, labour shortages, supplier failure, equipment breakdown, material shortages, government action, customs delays, power outages, cyber incidents, courier disruption, transport interruption, or civil unrest.

17. Changes to These Terms

We may update these Terms from time to time. The latest version published on our website will apply from the effective date shown or, where no date is shown, from the date of publication.

18. Governing Law

These Terms are governed by the laws of Malaysia. Any dispute arising from or connected with these Terms, our products, or our services will be subject to the applicable laws and legal processes of Malaysia.
